Terms of Use

1.  Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of any product, diagnostic, or service offered by Art of Building Enterprise (“ABE Works”), currently operated by its owner (together referred to as “ABE Works” throughout these Terms).

By accessing or using ABE Works, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use this website or any associated products, diagnostics, or services.

By proceeding, you represent that you have the legal capacity to enter into a binding agreement and, if acting on behalf of a business, that you have authority to bind that business to these Terms.

2.  Nature of ABE Works

ABE Works provides diagnostic, structural, and governance-oriented instruments that increase organizational clarity within an enterprise.

ABE Works does not provide:

  • Legal advice
  • Financial advice
  • Business consulting services
  • Operational management
  • Guarantees of outcomes

All outputs are provided for structural clarity and interpretation purposes only.

3.  Responsibility of the User

You acknowledge and agree that:

  • You are solely responsible for all decisions and actions taken based on ABE Works outputs.
  • You will not rely on ABE Works as a substitute for qualified professional advice.
  • Use of ABE Works does not transfer responsibility to ABE Works.

ABE Works provides structure. You retain full responsibility.

4.  No Guarantee of Results

ABE Works does not guarantee:

  • Business success
  • Financial performance
  • Operational improvement
  • Organizational transformation

Outputs may reveal constraints, limitations, or misalignment. All outcomes depend on your decisions, actions, and operating conditions.

5.  Diagnostic Limitations

All diagnostics, including the Enterprise Diagnostic System (EDS), are:

  • Based on user-provided inputs
  • Dependent on the accuracy and completeness of information provided
  • Interpretive and not exhaustive

Results are directional. They should not be used in isolation for decision-making.

6.  Tiered Use and Progressive Responsibility

ABE Works provides multiple levels of engagement. Each level introduces increased depth, clarity, and responsibility.

a. Structural Snapshot (Free)

Preliminary and non-comprehensive. Not sufficient as a basis for decision-making. The Structural Snapshot is a directional instrument, not a certified or exhaustive assessment. Results may be used internally. They may not be reproduced, cited publicly, or distributed to third parties without written authorization from ABE Works. ABE Works provides a structural index and classification only. It does not constitute a governance recommendation. The enterprise bears full responsibility for any actions taken in response to Snapshot output.

b. Full Diagnostic

Pattern-based visibility. Does not constitute implementation, prescription, or consulting. The Full Diagnostic Report identifies structural conditions and installation sequences. ABE Works does not guarantee specific governance outcomes from report implementation. The boundary between structural diagnosis and execution responsibility rests entirely with the enterprise. The Full Diagnostic does not constitute legal, financial, or professional advice.

c. Guided Diagnostic

Interpretive discussion. Not consulting, advisory, or management services. Guided sessions are structural in nature and do not create an advisory, fiduciary, or consulting relationship. The enterprise retains full responsibility for decisions made during or following guided engagement.

d. Structural Installation (SCCI)

Applied structural work requiring active participation and internal leadership alignment. Outcomes depend on internal execution. The Steward Core Commission Installation (SCCI) is a governance architecture engagement. It does not constitute management consulting, legal counsel, or board-level advisory services. Structural foresight and installation plans are analytical instruments. They do not guarantee governance outcomes.

Additional terms may apply at each level and require explicit acceptance before access is granted.

7.  Recording and Data Use (Guided Sessions)

For guided diagnostics and related sessions, you are advised that:

  • Sessions may be recorded and transcribed.
  • Recordings and transcripts may be used to generate reports and to improve system accuracy.

By expressly proceeding with a guided session after receiving this notice, you provide your informed consent to recording, transcription, and processing as described. If you do not consent, you must not proceed with the session. Your participation constitutes acknowledgment that you have read and understood this notice.

Your data is further governed by the Privacy Policy, incorporated herein by reference.

8.  Intellectual Property

All materials provided by or through ABE Works, including diagnostics, reports, frameworks, language systems, and visual assets, are the intellectual property of ABE Works and its owner. All rights are reserved. Upon formation of a successor legal entity, all intellectual property rights will transfer to that entity.

You may not:

  • Copy, reproduce, or distribute materials without authorization.
  • Resell or repackage outputs.
  • Reverse-engineer any system, framework, or methodology.
  • Use materials commercially without a formal license.

Use is limited to internal application within your own enterprise, unless otherwise authorized in writing by ABE Works.

9.  Professional Use Restriction

ABE Works materials may not be used to:

  • Deliver consulting or advisory services to third parties.
  • Repackage or redistribute ABE frameworks or outputs.
  • Embed ABE outputs into commercial products or services.

Any professional or commercial use requires a formal license agreement. To inquire about licensing, contact ABE Works at the address listed in Section 19.

10.  Refusal and Termination

ABE Works reserves the right to suspend or terminate your access without prior notice if:

  • The system or its outputs are misused.
  • Materials are used without authorization.
  • These Terms are violated in any material respect.

In cases of misuse or Terms violation, no refund will be issued. Termination does not limit any other remedy available to ABE Works.

11.  Payments, Pricing, and Currency

  • All prices are listed and charged in Canadian dollars (CAD) unless otherwise stated at the point of purchase.
  • All purchases are final unless an explicit refund or cancellation policy is stated for the specific product or tier at the time of purchase.
  • Pricing applies to future purchases and may be modified at any time. Existing access and entitlements will not be retroactively repriced without notice.
  • You are responsible for any applicable taxes, fees, or currency conversion charges imposed by your payment provider.

12.  Limitation of Liability

To the fullest extent permitted by applicable law, ABE Works is not liable for:

  • Business or financial losses
  • Operational disruptions
  • Decisions or actions taken based on ABE Works outputs
  • Indirect, incidental, consequential, or punitive damages of any kind

Use of ABE Works is entirely at your own risk. In no event shall the total liability of ABE Works exceed the total fees paid by you for the specific product or service giving rise to the claim in the twelve (12) months preceding the claim.

Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot be excluded or limited under applicable law.

13.  Privacy

Your use of ABE Works is governed by the Privacy Policy, which outlines how personal information is collected, processed, and stored. The Privacy Policy is incorporated into these Terms by reference. In the event of any conflict between these Terms and the Privacy Policy regarding personal information, the Privacy Policy governs.

14.  Modifications to Terms

ABE Works reserves the right to update these Terms at any time. For material changes, ABE Works will make reasonable efforts to provide notice, which may include posting an updated effective date on this page or communicating directly with registered users. Continued use of the platform following any modification constitutes your acceptance of the revised Terms.

You are encouraged to review these Terms periodically.

15.  Dispute Resolution

In the event of a dispute arising from or related to these Terms or your use of ABE Works, the parties agree to first attempt resolution through good-faith discussion. If direct resolution is not achieved within thirty (30) days of written notice of the dispute, either party may pursue mediation before initiating formal legal proceedings. Nothing in this section prevents either party from seeking emergency or injunctive relief from a court of competent jurisdiction where appropriate.

16.  Entity Transition and Assignment

ABE Works is currently operated by its owner as an individual business operator. ABE Works intends to form a corporate successor entity, which may be known as ABE Works Inc., under the laws of British Columbia, Canada.

Upon such formation, these Terms, including all rights, obligations, and interests arising under them, may be assigned to that successor entity without further notice to or consent from you. The successor entity will assume all obligations under these Terms as of the date of assignment. Your rights under these Terms will not be diminished by such assignment.

All intellectual property, user data, platform assets, and agreements may similarly transfer to the successor entity as part of this transition. Your continued use of the platform following assignment constitutes acceptance of the transition. This clause does not affect the interpretation or enforceability of any other provision of these Terms.

17.  General Provisions

Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and ABE Works with respect to your use of the platform and supersede all prior understandings, representations, or agreements on this subject matter.

Waiver

Failure by ABE Works to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision at any time in the future.

Capacity and Authority

By using ABE Works, you represent that you are of legal age and have full legal capacity to enter into this agreement in your jurisdiction. If you are accessing ABE Works on behalf of a legal entity or business, you represent that you have authority to bind that entity to these Terms. ABE Works is not responsible for any internal authorization disputes arising from your use of the platform.

18.  Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the courts of British Columbia for any disputes arising under or related to these Terms.
